Steven T Lawrence

Steven T. Lawrence's practice focuses on the legal and business needs of public and private companies andindividuals in connection with business matters in the areas of mergers and acquisitions, sports law, intellectual

property transactions, corporate finance, and corporate matters.

Mr. Lawrence's recent experience as lead counsel includes:

• Representing a food services company in its acquisition by a publicly-traded company.

• Serving as lead counsel in the representation of a software company in its sale to a venture capital-backed

private company.

• Negotiating a venture capital financing on behalf of an emerging life sciences company.

• Counseling a commercial bank in the drafting, negotiation and completion of significant credit facilities.

• Serving as lead counsel in the sale of a privately-held technology distribution company to a publicly-traded

company.

• Representing a publicly traded restaurant company in connection with a $150 million credit facility.

• Advising a professional sports franchise in the offering and sale of $160 million in equity securities.

• Representing a professional sports franchise in the offering and sale of $100 million in equity securities.

• Counseling a professional sports franchise in the completion of a significant credit facility, including a revolving

line of credit.

• Negotiating software license, maintenance and consulting agreements with a Fortune 100 licensee on behalf of

an emerging software licensor.

Mr. Lawrence also has substantial experience representing lenders and borrowers, franchisors and franchisees,

handling securities matters, trademark prosecution, and serving as general outside counsel.

Prior to joining Gallagher & Kennedy, Mr. Lawrence served as Corporate Counsel to SkyMall, Inc. and Associate

General Counsel to JDA Software Group, Inc. (NASDAQ: JDAS). He began his legal career as a Judicial Clerk to

then Chief Judge Thomas C. Kleinschmidt of the Arizona Court of Appeals.
