Nathan R Sumbot

I'm Nate Sumbot, founder and principal attorney at FundWise Legal PLLC. Through our Scalar Law practice, I provide corporate counsel for growth-stage companies — from structuring deals and negotiating commercial contracts to providing ongoing strategic counsel as a fractional general counsel. Through FundWise, I serve as securities counsel for online capital raising platforms and issuers navigating Reg CF, Reg A+, and Reg D offerings. My practice focuses on commercial contracts, corporate law, mergers and acquisitions, and business transactions, with a particular emphasis on serving companies that need sophisticated legal guidance without the overhead of a full-time in-house team.

Before launching FundWise Legal, I built my career across a range of high-impact legal roles. I served as General Counsel at Lumio and Chief Legal Officer at Ei.Ventures, where I led legal strategy for rapidly scaling companies. Earlier in my career, I served as Deputy General Counsel in the Office of Utah Governor Gary Herbert and practiced at Ballard Spahr LLP. These experiences gave me a deep understanding of both the public and private dimensions of business law, and the judgment to advise clients through high-stakes decisions.

I earned my Juris Doctor from BYU Law in 2014 and hold a Bachelor of Arts in English from Brigham Young University. I'm admitted to practice in Utah.
