I have negotiated grant agreements with the top foundations and wealthiest individuals in the U.S. and around the world. I have formed and secured tax-exempt status for complex organizations, including private foundations and public charities with various missions.  Drafting internal and external policies for charitable organizations has always been a part of my practice.  Further, I’ve reviewed and signed off on multiple Forms 990, both as outside counsel and in-house. 

I have counseled boards of directors on sensitive, complicated issues and worked with donor-advised funds.  I've provided training, reporting policies, and guidance for federal and state lobbying activities and ethics regarding expenses for government officials.  I’ve also counseled nonprofit organizations regarding issues impacting their tax status and provided guidance through transactions special to nonprofit organizations.

In addition, I’ve drafted partnership and LLC agreements and structured complex organizational arrangements.  I’ve guided clients through planned giving options in trusts and wills and structured family limited liability partnerships.
