Charles Augustine Cotter

He represents start-up companies from initial formation and financing, through growth stages, and culminating in exit strategies.  Chuck also represents venture capital firms with respect to their investments in growth companies.  He focuses in food and beverage but works with clients in a variety of other industries, such as consumer products and technology.

Mergers and Acquisitions

He has represented clients in public tender offers, mergers, acquisitions, divestitures, and arrangements, including both domestic and cross-border transactions. These deals have ranged in size from a million dollars to over five hundred million dollars.

Securities and Corporate Governance

Chuck is well-versed in the legal issues surrounding private and public debt and equity offerings, including secondary and at-the-market offerings, in which he has represented issuers and major underwriters. He has significant experience representing public companies in 1934 Securities Exchange Act reporting work.
