Jeffrey Alan Sherman

Jeff has extensive experience in many areas of corporate representation, including securities regulation, mergers and acquisitions, and general corporate counseling. A significant portion of his practice involves advising public companies on SEC reporting requirements, stock exchange listing standards, executive compensation issues, disclosure issues, and general corporate governance matters. He represents issuers and underwriters in initial and secondary public offerings, and Rule 144A and other private placements.

Jeff regularly represents private equity funds, senior management, and public and private companies in connection with structuring and negotiating mergers, acquisitions, dispositions, and recapitalizations, including leveraged acquisitions. In addition, he frequently provides general corporate representation to the platform portfolio companies of his private equity fund clients and represents them in connection with strategic add-on acquisitions.

Jeff also represents technology and emerging-growth companies and a number of private equity and venture capital funds in connection with equity and debt financings ranging from early-stage investments to growth equity and expansion capital.

As an officer in the JAG Corps of the U.S. Army Reserve, Jeff deployed to Iraq as part of Operation New Dawn. He currently serves as Staff Judge Advocate of the Wyoming Army National Guard.
