I am an entrepreneur who started my own law firm and I am also a founding member / general counsel of an oilfield service company that developed patented plasma-related technology to treat oilfield liquid and solid waste.  I have a history of delivering cost-effective legal and innovative business solutions to clients in the oil & gas, alternative energy, construction and financial services industries. I have extensive trial experience in state and federal courts and in a variety of arbitration forums (AAA, FINRA & ICDR). I have substantial experience assisting startups, designing risk management plans and assisting companies with regulatory-related issues. Finally, I worked as a drilling fluids engineer prior to law school, and I thoroughly understand the offshore and land-based drilling industry.

Litigation:1st chair trial experience in oil & gas related litigation (royalty / title disputes and operator disputes), securities-related litigation (class action, FINRA, SOX and SEC enforcement), IP litigation (patent, trademark, copyright and trade secrets) and employment litigation (Title VII, ADA, ADEA, FLSA, FMLA and non-competition). Significant experience in state and federal courts, as well as AAA, ICDR and NASD / FINRA arbitration processes. Argued hundreds of motions and participated in nearly 100 mediations. Represented clients in over 100 administrative hearings related to oil & gas, securities, environmental, real estate, employment and workers’ compensation issues.

Transactional:Drafted documents required by startups, construction and oil field service companies, including operating agreements, master service agreements, FEED and EPC agreements, JV agreements, license agreements, purchase orders, LOIs, lease agreements, NDAs and purchase / sales agreements. Drafted employment-related agreements, including handbooks, policy manuals and separation agreements. Drafted JOAs and offering documents utilized by independent operators. Managed extensive patent portfolio for startup. Obtained financing for startup and assisted with financing deals for independent operators.

Regulatory / Compliance / Risk Management:  Represented clients in SEC enforcement matters, DOJ, OSHA, DOL, EPA and NASD/FINRA investigations and FCPA matters.  Appointed counsel for receiver in several SEC receiverships. Designed risk management plans for clients in energy, construction and financial services industries. Represented professionals (doctors, nurses, lawyers, teachers, police officers and registered representatives) in license-related investigations
