Represent clients in commercial transactions matters including negotiating and/or drafting asset purchase and sale agreements, pledge agreements, service agreements, real estate sales contracts, franchise agreements, distribution agreements, maintenance contracts, notes, deeds, deeds of trust, mortgages, security agreements, notices, real estate and equipment leases, financing, real estate and business sale closings, mechanic’s liens, and landlord – tenant disputes.

Represent clients in commercial transactions matters including negotiating and/or drafting asset purchase and sale agreements, pledge agreements, service agreements, real estate sales contracts, franchise agreements, distribution agreements, maintenance contracts, notes, deeds, deeds of trust, mortgages, security agreements, notices, real estate and equipment leases, financing, real estate and business sale closings, mechanic’s liens, and landlord – tenant disputes.

Assists clients with the selection and creation of business entities including limited liability companies, corporations, and limited partnerships with an emphasis on limiting personal liability, maximizing efficiency and minimizing tax obligations. Once the client’s business is formed, I provides advice regarding strategic decisions and planning relating to control issues, corporate financing and corporate governance.

Represent plaintiffs and defendants in a variety of commercial litigation matters, including but not limited to breach of contract, fraud, business torts, interference with contract, breach of fiduciary duty, fraudulent transfer, and deceptive trade practices. Also represent plaintiffs and receivers in collection matters including making demands, filing collections suits, post-judgment work and receiverships.
