Securities Law
• Advise on, and draft document for, public offerings and private placements of debt and equity securities as well as corporate and insider SEC disclosure filings
• Ensure stock plan compliance

Corporate Governance
• Advise corporate boards (including committees) and management regarding obligations under corporate charters and bylaws as well as applicable state and federal laws
• Train boards and management, and ensure compliance, with respect to fiduciary obligations
• Prepare board books and maintain corporate records of public and private entities
• Ensure all corporate policies align with current best practices
• Conduct internal investigations as warranted

Mergers and Acquisitions
• Represent public and private entities (both purchasers and sellers) in mergers and asset acquisitions and dispositions
• Ensure M&A transactions are done in the most efficient manner to provide maximum benefit to shareholders, boards, management, employees and other parties in interest
• Conduct due diligence
• Advise boards and management regarding covenant obligations and fiduciary duties

Contracts
• Draft and negotiate all types of business agreements, including credit facilities, operating agreements, joint venture agreements, leases, NDAs, master agreements, technology licensing agreements, vendor agreements, and employment and severance agreements, in each case working closely with corporate constituents to ensure maximization of corporate goals and objectives
• Maintain and update corporate form agreements
• Ensure corporate compliance with all contractual obligations
