Over a 26 year legal career, legal responsibilities included compliance with the Securities Act of 1933 for registered offerings of securities and the Securities Exchange Act of 1934 for filings of periodic and current reports with the SEC, compliance with the NYSE listing standards, guidance on public disclosures, proxy statement preparation, and Section 16 filings for directors and officers.

Served as Assistant General Counsel, Corporate and Finance, and Assistant Secretary for Marathon Oil Corporation from 2002 through 2014. Responsible for wide range of legal matters, including corporate secretary function and shareholder matters, advance materials for board of directors, and corporate governance matters.

Worked on various acquisitions and dispositions of stock and asset deals, including heavy negotiations experience.

Worked on various tax and legal matters involving company structures, including incorporation and limited liability companies.
