Jonathan Sebastian Ayre

Jonathan Ayre is a partner in Orrick's Energy & Infrastructure practice. He represents clients in acquisitions, divestitures, and joint ventures involving oil and gas assets, oilfield services companies, power generation facilities and other energy industry transactions. His corporate practice includes the formation of private equity-backed entities investing in the oil and gas and power generation industries.

Jonathan also represents clients in project development matters, with a focus on engineering, procurement and construction agreements for major capital projects, including liquefied natural gas facilities and nuclear and fossil-fuel power generation facilities. He counsels a range of clients on general corporate matters, including entity formation, equity ownership, and corporate governance.

He is a member of energy industry and M&A organizations including the Association of International Petroleum Negotiators, the Houston Producers' Forum and the Houston Bar Association's Mergers and Acquisitions section.
