Jonathan David Boben

Practice & Background

Jon Boben represents financial and strategic buyers and sellers in public and private mergers, acquisitions, and dispositions. His practice also includes finance and derivatives, public offerings and private placements of debt and equity securities, and general corporate counseling.

He has experience advising private equity sponsors, venture capital funds, and companies in a wide array of industries, with a particular focus on the energy sector.

Jon received his B.B.A. in Finance from Texas A&M University, his MSc in Philosophy and Public Policy from the London School of Economics, and his J.D. from the University of Houston Law Center, where he was Chief Editor of the online companion to the Houston Law Review.

He is a member of the State Bar of Texas, the World Affairs Council of Houston, the Houston Young Lawyers Association, Young Professionals in Energy, and the Association of International Petroleum Negotiators.

Jon’s recent engagements include:

• the merger of two MLPs, resulting in a midstream energy business with an enterprise value of approximately $7 billion;

• a financial sponsor’s sale of a portfolio company and related equity arrangements with the portfolio company’s management team;

• a Fortune 500 company’s acquisition of an oilfield equipment distributor and related management incentive arrangements;

• a principal investor’s leveraged acquisition of an automotive concern; and

• a midstream MLP’s disposition of a business unit.
