We provide health care fraud and abuse counseling, physician arrangements auditing/review, advice and counsel on Texas prohibition of the corporate practice of medicine and fee-splitting issues, and guidance on the advertising and marketing of medical services and off-label use of medical devices. We also design, develop and evaluate codes of conduct, corporate and employment policies and procedures, compliance programs and privacy and security risk assessments, policies and programs.

We draft, review and negotiate physician employment, professional services, on-call, medical director, consulting and recruitment agreements. We also draft, review and negotiate managed care contracts and network/IPA/PHO participating provider agreements. For hospitals, we draft, review and negotiation management services and service line/department agreements, patient transfer agreements, informed consent forms and HIPAA authorizations, notices and business associate agreements.

We assist medical practices, clinics, HHAs, hospices, hospitals and other providers with health plan preauthorization, clinical documentation for medical necessity and exceptions to experimental/investigational exclusions, coding compliance and claim denials management and appeals. We are available to serve as interim or outsourced general counsel, chief compliance officer or privacy officer. We conduct internal investigations of incidents reported to employee hotlines and retaliation claims.

For mergers, acquisitions, divestitures and joint ventures, we draft and negotiate letters of intent, non-disclosure agreements, health care representations and warranties, non-compete/non-solicitation agreements, indemnification agreements, transition services agreements and asset, stock, merger and partnership agreements, leases and private offering memoranda. We also assist with choice of entity, formation and organization of medical practices, ASCs and other health care providers.
