My practice focuses the formation and operation of private investment funds - both hedge funds and private equity funds - employing a variety of investment strategies. I also advise investment fund managers in conducting private placements, registration or exemption from registration as an investment adviser with the SEC or state authorities, registration with the NFA as a commodity pool operator or commodity trading adviser under CFTC regulations, and other compliance issues. I also assist clients with negotiating side letter agreements and equity participation agreements and with drafting management entity governing documents for various fund management structures.  My practice also involves advising investors in private investment funds in connection with their investment activities.
