Gabriela Noemi Smith is the founder and managing attorney of GNS Law PLLC, a national U.S. business law firm focused on mergers and acquisitions, business sales, and cross-border transactions for Latin American companies entering the U.S. market.
With 17+ years of legal experience, Gabriela represents founders, entrepreneurs, and companies in M&A transactions ranging from small business acquisitions to complex multi-party deals. She advises on deal structure, due diligence, purchase agreements, earnouts, working capital adjustments, and post-closing matters. GNS Law's proprietary Company X-Ray framework provides sellers with a comprehensive pre-sale legal audit to identify and resolve issues before going to market.
Gabriela holds a J.D. summa cum laude from Delaware Law School and a Certificate in Securities Law and Corporate Finance from Cornell Law School.
