It seems unlikely that criminal charges would go very far. But, there is probably $100 owed now as a result of the actions.

There are lots of valuation methods. I always include a provision covering this in the operating agreement for that exact reason.

In most states, the main solution is simply to sue. Retain an attorney asap.
