Intellectual Property Contract Matter

OUTCOME: Company appears to be willing to adopt the clearer description as to who will own what of the IP.

I represent a software developer who is working with a company to analyze certain data, as an independent contractor. No written agreement was signed but Company needs to have such a writing to suppor ... t its grant proposal. I edited the draft agreement sent by the Company to make it clear that it would not own the underlying software tool developed by the contractor but only the output.
