OUTCOME: Successful Appeal
Supplier of materials on a public construction project brought action against construction company in control of the entire project, its bond surety, and president of corporation that served as a condu ... it between supplier and construction company, seeking payment for materials provided on the project. The Court of Common Pleas, Erie County, No. 2005-CV-838, awarded summary judgment to construction company and surety, but found president personally liable for the amounts owed by his corporation. I represented the supplier and president, and we successfully appealed the trial court's verdict. The Court of Appeals held that (1) service by supplier of a notice of furnishing to construction company was complete on the date of mailing, rather than the date notice was received, and (2) president was not acting as the agent of an undisclosed principal. The trial court was reversed and Appellants were ordered to pay costs.

Shareholders sought judicial dissolution of corporation. The trial court granted dissolution. Other shareholder appealed. Holdings: The Court of Appeals, held that: (1) evidence supported finding t ... hat corporation was deadlocked, warranting judicial dissolution, and (2) there was no statutory requirement that trial court explore alternative remedies prior to ordering judicial dissolution.
