Tyler Dewitt Williams

Attorney with  a practice concentrated primarily in the areas of business formation, corporate governance, and business and commercial transactions, including mergers and acquisitions and commercial real estate.  Although no longer the primary focus of my practice, I also have experience of representing and counseling primarily business clients in regulatory and litigation matters - and in managing the efforts of local counsel in such matters - throughout the United States.

My transaction work has included representing buyers and sellers in stock and asset acquisitions and divestitures; representing the lender in private investment and loan transactions involving follow-on warrants and profit participation rights; representing borrowers and lenders in other financing transactions; representing the buyer in the acquisition of distressed assets (including real estate) of a seller in bankruptcy; and representing parties to merger transactions, buyouts, and other corporate restructuring.  

I also assist businesses and individuals in the formation of new corporations and limited liability companies in jurisdictions throughout the United States.  A significant portion of my practice also includes advising business clients in a general counsel capacity, including assisting with the preparation and updating of handbooks, policies, and best-practice initiatives.
