To sum up what I do I will quote one of my clients - I help business owners sleep at night.  

More specifically, I counsel privately held companies on their legal and business needs, help business owners identify and address complex legal issues in a practical fashion, with a focus on finding out what they want to accomplish and help them achieve their business goals.  I often act as "in house" counsel for those companies that do not have the need for a full time general counsel.

I believe in partnering with my clients to assist them in growing their businesses and take great pleasure in getting to know their business as I become a trusted legal and business advisor.

I have a mergers and acquisitions practice helping buy and sell businesses, but much of my time is spent assisting owners with everyday legal problems - issues such as drafting and negotiating commercial contracts, analyzing business structures for liability and tax issues, assisting in resolving ownership disputes, drafting shareholder agreements, operating agreements and other commercial contracts, handling real estate matters, debt and finance matters, and similar legal issues.
