I have experience drafting commercial leases, license agreements, asset purchase agreements, partnership agreements and miscellaneous agreements.

I advise clients in all aspects of franchising, including regulatory compliance; preparing, updating and registering franchise disclosure documents; drafting of franchise agreements; and intellectual property matters. I have franchise experience in QSR, professional coaching, tax preparation, spas and auto repair.

I assist clients with drafting, negotiating and evaluating corporate documents including articles of incorporation, bylaws, certificates of organization, operating agreements, resolutions, charters, and policies and procedures. I frequently assist clients with the formation of nonprofit corporations, as well as with applications for recognition of exemption (Forms 1023 and 1024) with the IRS. I advise museums on issues including charitable registration, art law and donation agreements.
