• Effectively implementing processes and procedures for various loan, grant and other programs administered by the Michigan Economic Development Corporation.  

• Drafting and closing of various economic development incentive and other transaction documents, including complex equity and funding transactions.

• Managed complex litigation within corporate, business and real estate matters. Undertook all major research and writing duties. Successfully defended multimillion-dollar loan, mortgage, and guaranty issues.

• Engaged in business transactional matters, including business acquisitions and sales as well as related agreements involving real estate, employment agreements, supply contracts, securities filings, etc.

• Heavy lifting finalizing the asset sale of multi-million dollar subsidiary of a publicly held company, including drafting transactional documents, handling due diligence matters, drafting SEC filings and responses to SEC comment letters for the company in a subsequent tender offer/going private transaction, drafting and finalizing contracts, and assisting with various other commercial matters. 

• Successfully defended and resolved several multimillion-dollar lawsuits arising from troubled business loans including personal guaranty and mortgage foreclosures.
