Biography
I help clients construct and implement a growth or exit strategy, or create a method of distributing the client's products or services to achieve the client's business goals. I can assist clients in designing a growth strategy, exit strategy, or distribution system, licensing relationships, or franchising relationship. With regard to franchising, I can assist the client in developing and drafting the necessary disclosure documents, including the FTC required Franchise Disclosure Document, franchise agreements, area representative agreements, area development agreements, and all ancillary documents necessary to secure the franchisees' performance, as well as work with the client on the required regulatory compliance in various states.
I have a specialty niche in the area of liquor licensing. I have obtained liquor licenses for clients all over the state of Michigah, and am an expert in the Michigan Liquor Control Code and the procedures for obtaining or transferring a liquor license in Michigan. I represent national restaurant and hotel chains and local independent owner/operators in various areas of the hospitality industry, such as on premises, off premises, golf courses, bowling alleys, and hotels.
I teach Michigan Administrative Law at Cooley Law School. My vast experience in navigating the Michigan regulatory maze gives me unique abilities to assist clients in virtually all agencies regulating businesses.
