Shareholder’s lawsuit against Signalife, Inc. (“Signalife”), its stock transfer agent, various corporate directors and the controlling shareholder. Plaintiffs and Appellants Marvin Fink and Marvin Fin ... k as Trustee of the Fink Family Trust (collectively, “Mr. Fink” or “Appellant”) is the former President and Chief Executive Officer of Signalife. After leaving the company, Appellant was wrongfully denied the ability to sell his stock in Signalife that, at the time he made a written request to sell his shares, was worth over six million dollars. While Appellant’s sales were obstructed, the controlling shareholder and others schemed to sell and eventually dumped millions of dollars of stock in the open market, driving the market value of Appellant’s shares to zero. At issue is the SEC Rule 144 exemption exceptions.
