James Saling concentrates his practice on health care regulatory, transactional, and corporate matters. He counsels clients on a wide range of matters, including structuring financial arrangements and transactions to comply with the Anti-Kickback Statute and the Stark Law, Medicare certification and reimbursement, state licensure issues affecting health care providers, corporate practice of medicine and dentistry, joint ventures between health care providers, and structuring incentive compensation.
James has devoted much of his practice to physician affiliations and joint ventures, including those with ambulatory surgery, imaging and cancer centers, independent diagnostic testing facilities (IDTFs), cardiac catheterization labs, block lease and clinical co-management arrangements, and physician practice acquisitions and integration. As a response to health care reform and continued market consolidation, he has assisted clients in a number of innovative affiliation transactions, including the representation of insurance companies in physician practice acquisitions. He has also advised private equity clients in their acquisitions and worked closely with their due diligence teams to quickly identify health care regulatory issues, especially with regard to private equity investments in physician and dental practice management companies.
James graduated from the University of Arkansas and Georgetown University Law Center. He is licensed to practice law in Florida and is a member of the American Health Lawyers Association and serves on the Young Professionals Council, and the Florida Bar (Health Law Section). James was recognized as a Pro Bono Champion by American Health Lawyers Association in 2014 and 2015.
Recent Experience
· Served as lead regulatory counsel on a $57 million acquisition of an eating disorder treatment facility by a private equity company
· Led efforts to obtain Florida health care clinic licensure for an advanced urgent care center in the face of intense scrutiny by the Florida Agency for Health Care Administration
· Served as lead counsel in establishing a “super group” of physicians and its relationships with a management service organization (MSO), pharmaceutical group purchasing organization (GPO) and infusion pharmacy management company
· Served as lead counsel on four acquisitions of Florida pain clinic, for a national health care company
· Served as lead counsel on the acquisition of an ophthalmology physician practice in New Jersey
· Served as lead counsel on the acquisition of a New York ambulatory surgery center
· Served as lead counsel on a Florida hospital’s acquisition of a vascular surgery practice
· Served as lead regulatory counsel on a private equity acquisition of a dental practice management company
