Mr. Rubin is also a CPA licensed in Florida.  With both legal and accounting backgrounds, Mr. Rubin assists clients in structuring, negotiating and documenting their transactions. From choice of entity and governing documents (such as shareholders agreements and LLC operating agreements) to ongoing business issues such as employment, confidentiality, noncompetition and intellectual property licensing, he understands what clients need to operate their businesses. Mr. Rubin has structured strategic business relationships, including joint ventures and distribution arrangements, for numerous clients and has facilitated several small and mid-cap companies with obtaining debt and private placements of equity in the U.S. and internationally. He has also represented numerous buyers and sellers in the disposition of businesses, and in the separation of partnerships and other closely held businesses.
