Barclay has formed and represented corporations and limited liability companies, and drafted and negotiated agreements such as Shareholder Agreements, Partnership Agreements, Operating Agreements, Purchase and Sale Agreements, Employment and Independent Contractor Agreements, Consulting Agreements, Buy-Sell Agreements, Leases and other similar contracts.

Barclay has represented numerous software, medical device and other technology companies in their formation and in the protection of their Intellectual Property primarily through the drafting and negotiating of complex agreements such as software and other technology licensing agreements, off-shore and domestic product development agreements, independent contractor agreements, non-disclosure agreements, and other similar contracts.

Barclay has represented primarily individuals and business entities such as E.F. Hutton and Metropolitan Atlanta Rapid Transit Authority in commercial, business and contract litigation since 1978. The issues have involved the prosecution and defense of claims such as breach of contract, fraud, breach of fiduciary duty, condemnation, and tax appeals.

Barclay has represented companies and individuals in the purchase and sale of businesses, strategic planning, employment, and shareholder and member issues and matters.
