If he transfers to you, you would need to pay all of the back taxes and you do not get the step up in basis of inheriting. If he can get a HELOC...

If your mother is still alive the POA is fine for transferring the property. If she is not then you need to open a probate.

Perhaps you mean that they did not have a will. If there is not will it would be divided equally but that does not pertain to deeded property
