As a business attorney I represent and advise individuals and companies in business transactions including organizing, operating, purchasing and selling businesses (e.g.corporations, limited liability companies, partnerships); joint ventures; shareholder and member relations; complex financing transactions; real property and equipment purchases, sales and leasing; and, general business contract work such as employment agreements, confidentiality agreements, non-competes and commercial contracts.

I have represented individuals and entities in connection with simple and complex lending and other finance activities including secured and unsecured term, revolving and line of credit transactions; private equity and note issuances; venture capital and other forms of finance transactions and have drafted loan and security agreements, promissory notes, guarantees, pledge agreements, mortgages, deeds to secure debt and other related documentation.

As an M&A attorney I have worked on and closed many transactions, simple and complex; structured, drafted and negotiated equity and asset purchase/sale agreements, merger agreements and related documents including letters of intent, confidentiality agreements, non-competes, operating agreements, employment/consulting agreements, escrow agreements, and others.
