My practice focuses almost entirely on entity, or business law. I serve as outside General Counsel for many of my clients handling the legal "department" aspects of their business.

With respect to private placements, represent and support clients by drafting the offering/disclosure documentation, structuring the terms of the offering, filing the necessary filings, designing compliance policies for the company to comply with the securities regulations. While it is brand new law, I am well versed on Crowd Funding and general solicited Reg. D offerings

In the corporate world government regulation administered by the various federal and state agencies is an ever increasing burden and concern. Because I often act as General Counsel for my clients I spend a lot of time dealing with regulators from administrative agencies, particularly the securities regulators.
