Aug 15, 2008OUTCOME: Sophisticated LLC that protected creative control
An independent film-maker came to Wachbrit Braverman PC for a basic corporation. Once we understood what she was trying to achieve, we were able to recommend a limited liability company that protected ... her assets and ensured that other parties that had an ownership interest in the intellectual property were represented but that she kept total control of the project. There was no need for her to create additional, expensive, and potentially conflicting agreements with the other parties to the limited liability company. Because of the nature of her limited liability company ("LLC"), and the way it was drafted, no one, not even the other owners, will be able to take her creative control or her share of the LLC away from her. The movie she created is now winning awards at indie movie festivals, she is being featured on magazine covers, and she has no legal worries about her ownership.
