Michelle Smith Dicintio

Michelle S. DiCintio is a member of the Corporate and Business Transactions practice at the law firm of Odin Feldman & Pittleman. She is a corporate and transactional attorney with 15+ years' experience representing both established and early-stage companies. Her legal background includes assisting companies in all types of transactions (mergers and acquisitions, finance, commercial, and government contracting matters), corporate governance, compliance and policy development, and general employment issues.

Before returning to private practice, Michelle was the SVP, General Counsel and Corporate Secretary for Serco, a government contractor serving the federal IT services market with approximately $700 million in annual revenue and over 7000 employees worldwide. In addition to overseeing all legal matters, Michelle also managed the company’s compliance, ethics, internal audit, contracts, trade compliance, and defense security functions. She also led the company’s 2008 acquisition of SI International.

Prior to Serco, Michelle was VP and Associate General Counsel at General Dynamics. At GD she managed more than 50 M&A transactions, including the acquisitions of Anteon and Veridian. Michelle also was responsible for advising management in connection with securities reporting and stock exchange requirements, corporate governance and compliance matters and corporate finance activities.

Michelle was an attorney with several top-tier law firms before joining GD.

Michelle holds a J.D. from the University of Virginia School of Law, and a B.A. from the University of Redlands. She is a member of the District of Columbia and Virginia state bars.
