Haydn focuses on state and federal regulatory compliance matters related to the financial services industry. Haydn represents and advises mortgage companies, consumer finance companies, and financial institutions on issues such as:

• state and federal licensing and approval requirements, including those related to stock and asset acquisitions.  
• multi-state regulatory surveys and analyses of matters pertaining to residential mortgage lending, brokering, and servicing, including fees, disclosures, interest rates, and practices.  

Haydn also assists companies with implementing new state laws and regulations, and represents clients in state and federal enforcement actions, as well as compliance audits. 

He also is working closely with the Conference of State Bank Supervisors (CSBS) and the American Association of Residential Mortgage Regulators (AARMR) in the testing and implementation of the National Mortgage Licensing System (NMLS).

Recent matters

• Assisted with various multi-state licensing initiatives, including: (1) obtaining licensing approvals so that start-up companies were in a position to conduct business in each of the 50 states and the District of Columbia; and (2) obtaining approvals in connection with stock acquisitions of licensed mortgage companies.   
• Assisted a national secondary market investor with its acquisition of a national mortgage lender.  Provided advice regarding and obtained required approvals from state and federal agencies for the transaction.
• Served in the capacity of on-site, Legal Counsel for a national mortgage lender providing assistance with legal matters involving a variety of topics, including, but not limited to, compliance with state and federal mortgage laws and responses to investor repurchase demands.   
• Assisted a national mortgage lender with its asset acquisition of over 100 branch locations of another national mortgage lender.  Provided advice regarding and obtained required approvals from state and federal agencies for the transaction.
