Heather Robyn Pruger

Heather Pruger is a corporate attorney and fractional general counsel who helps mission-driven companies, B Corps, and women-owned businesses access senior legal counsel precisely when and how they need it.

As a Partner at ImpactGC, LLP, a B Corp-certified fractional GC firm, Heather works alongside founders, executives, and boards navigating growth, transactions, and organizational change. She steps in as an embedded legal partner — building legal infrastructure, managing risk, and advising on the decisions that shape how a business grows and operates.

Her transactional experience spans more than 100 M&A deals, including cross-border acquisitions, strategic investments, and divestitures across a range of industries. She has served as a founding General Counsel of a multinational operating group, where she built the legal, privacy, and compliance functions from the ground up and scaled them through more than $1 billion in acquisitions. Her early career as a litigator continues to inform her corporate work — particularly in assessing risk, navigating conflict, and helping clients make sound decisions under pressure.

Prior to founding her own advisory practice, she was a corporate associate at major law firms and clerked for a U.S. Magistrate Judge in the District of Maryland.

Heather is admitted to practice in Maryland and is a member of ProVisors Baltimore and the Riveters Law Club.
