Matthew Stephen Williams

Matthew Williams counsels directors of registered investment companies, independent directors and investment advisers on a variety of products, including mutual funds, ETFs, closed-end funds, unit investment trusts, separate accounts and variable insurance products. He has assisted in the drafting of SEC exemptive applications, participated in the annual 15(c) review process and revised prospectuses, proxies, SAIs, Forms 497, and other disclosure documents under the federal securities laws. Matthew also assists private investment fund sponsors and advisers throughout the fund formation process, including private equity funds and hedge funds.

Matthew’s practice experience includes providing advice to directors and investment advisers on discrete regulatory and compliance issues regarding federal securities laws including the Investment Advisers Act of 1940, the Investment Company Act of 1940, the Commodity Exchange Act, the Securities Act of 1933 and the Securities Exchange Act of 1934.

While attending Duke University School of Law, Matthew served as a judicial intern with the Supreme Court of North Carolina, served as a student attorney with the Duke Wrongful Convictions Clinic, and worked as a teaching assistant and research assistant.
