I represent buyers and sellers of businesses. I have represented companies in these transactions in almost every industry, and have represented private companies being sold to public or private companies and public companies buying private or public companies.

Representation of issuers, underwriters and placement agents in private placements, PIPEs and public offerings. I have been involved in over 80 public offerings, and close to 200 private placements.

I represent venture firms and angel investors. Principally, I represent the companies that they invest in. I have done close to 75 venture capital transactions.

Formation of businesses planning on rapid growth and outside investment. Prinicipal industries: technology, energy, consumer products.
