My experience working with Greg W. Sutton (formerly at Offit Kurman and later at Stevens & Lee) was ultimately disappointing, primarily due to lack of clarity, responsiveness, and practical guidance on critical corporate matters. From the outset, communication was often minimal and reactive rather t...han proactive. In many instances, responses were extremely brief or non‑substantive (e.g., one-line acknowledgments such as “Done” or “OK”), which did not provide meaningful legal insight or direction.  This became a recurring issue when dealing with nuanced topics such as equity structuring, Carta administration, and corporate governance. More importantly, on complex issues—particularly around equity compensation and S‑Corporation constraints—the guidance lacked depth and foresight. For example, I later needed to seek clarification on whether stock options could even be granted to a non‑U.S. individual without jeopardizing S‑Corp status, suggesting that earlier advice and document preparation had not fully accounted for fundamental compliance risks. Execution and follow-through were also inconsistent. There were multiple occasions where matters stalled or required repeated follow‑ups to progress, including document review, equity plan implementation, and coordination with other advisors.  While meetings and calls were frequently suggested, this did not always translate into tangible outcomes or clear next steps. Additionally, the geographic disconnect after his move to Stevens & Lee made the working relationship less practical. As a client operating in the Northern Virginia / DC area, proximity and familiarity with local legal and business contexts were important, and this gap became a limiting factor. Overall, while Greg W. Sutton was personable and available for scheduling discussions, the engagement lacked the level of rigor, strategic guidance, and responsiveness I would expect from counsel handling corporate structuring, equity, and securities-related matters. I ultimately sought alternatives better aligned with my needs for local expertise and more proactive legal support.
