I focus my practice in tax, corporate and business law, and am also a Certified Public Accountant (CPA). I am experienced with business formations and developing various entity types and structures to help minimize adverse tax consequences, including specific knowledge of Pennsylvania realty transfer tax and real estate structuring methodologies. I also assist with small- to mid-sized mergers and acquisitions, specifically as it relates to corporate tax law and incentive agreements.

I further assist clients with Pennsylvania Board of Appeals/Board of Finance and Revenue petitions, Internal Revenue Service (IRS) penalty abatements, and correspondence relating to various tax controversy matters. I provide advice regarding corporate and partnership tax planning and applying and interpreting state and federal tax law. I also negotiate and resolve client tax matters with various tax authorities.
In my general business practice, I draft operating agreements and shareholder (buy-sell) agreements with a focus on minimizing adverse tax consequences; and in my employee benefits and executive compensation practice, I am experienced with developing equity/profit incentive award agreements.
