Andrew M. Paxton

Andrew M. Paxton concentrates his practice in business law, real estate and taxation with aparticular focus on intellectual property, technology and emerging businessmatters.  Andrew thrives in working withstart-ups and real estate settlements/transactions because he most enjoyssitting down at the table and just “getting things done,” in his ownwords.  He enjoys the energy and passionthat drive entrepreneurs to innovation. In short, he is an idea man. 

Andrew counselsclients on some of their most important investments, such as realproperty.  But he also feels it isimportant to make them aware of more intangible assets that they may overlook –their ideas, creative products and intellectual property.  He helps business owners to understand notonly the value of these assets, but how to protect and preserve them.  His experience in trademark and copyrightprosecution includes clearing, registering and maintaining trademarks andcopyrights through the U.S. Patent and Trademark Office. And he works closelywith other attorneys at CGA in our business and litigation departments todefend his clients intellectual property rights.

While attending York College,Andrew served all four years in student government and was elected president ofhis Senior Class. Andrew earned departmental honors in Political Science andwas awarded the William Kain Good Citizenship award for his service to theCollege and community. Andrew currently serves as President of the York CollegeAlumni Board of Directors.  Andrew'sprevious legal experience includes work at the Pennsylvania SecuritiesCommission in their Enforcement and Compliance Division in Harrisburg, PAand an internship with the Pennsylvania Public Utilities Commission.

Representative Matters

• Counseled clients on formation and operation oflimited liability companies (LLCs) with multiple membership classes in order toprovide start-up and investment capital.

• Completed numerous multi-state, multi-milliondollar tax deferred 1031 Like Kind Exchanges for real estate.

• Represented buyers and sellers in stock andasset purchases and sales ranging from $100K to $60 million.

• Successfully negotiated numerous software andintellectual property licensing agreements.

• Successfully prosecuted numerous trademark andservice mark registrations with the PA Department of State and the FederalPatent and Trademark Office, including initiating and defending oppositions tofile and petitions to cancel.
