Millenium's insurance company filed a declaratory judgment action seeking to have a commercial general liability policy declared void ab initio and rescinded based on alleged material misrepresentation ... s made by Millenium during the underwriting process of the policy. Millenium hired off City duty police officers to provide security services for various businesses by whom it had been hired. Millenium's insurance company alleged that Millenium misrepresented (1) who would provide coverage for "color of duty" and "police actions" and (2) whether it had contractually agreed to indemnify the City for such actions. Millenium denied the alleged material misrepresentations. After a two day trial, Judge Souder ruled in favor of Millenium. Dr. Woods filed for a temporary restraining order, injuntive relief, and a declaratory judgment regarding the respective rights and obligations pertaining the purchase of an improved parcel of real est ... ate containing the location of his dental practice. In short, Dr. Woods asserted that his lease of a part of the premises contained a right of first refusal to purchase the entire building. The lawsuit was filed when he learned that the owner entered into a contract of sale with another tenant. Dr. Woods initially obtained a temporary restraining order preventing the sale, then won on cross motions for summary judgment, then when on appeal noted by the disgruntled tenant who attempted to pruchase the building despite Dr. Woods assertion of a right of firts refusal.
