Robert Jay Waine

I enjoy representing businesses in a broad spectrum of matters. As a member of Rothman Gordon’s Business & Corporate Group, I represent clients in all areas of the business lifecycle, from selection of the appropriate form of entity and entity formation to business dissolution. I negotiate and draft shareholder agreements, operating agreement, stock purchase agreements, asset purchase agreements and related documents. I was previously General Counsel for a closely held corporation that operated in multiple states, responsible for all legal matters impacting the corporation, including compliance with all federal and state regulatory requirements, drafting standard form contracts, preparing employee handbooks, and overseeing employment related issues. I especially enjoy working with entrepreneurs to help them manage their business and achieve their business goals.

In addition to my corporate practice, I have experience with and assists in matters involving real estate, construction, litigation, and oil and gas, including negotiating and drafting real estate sales agreements, commercial leases and loan documents. I have litigated cases in federal court, bankruptcy court and state court involving contracts, commercial transactions, construction disputes and employment matters. I also have experience in the oil and gas industry related to the ownership and leasing of natural gas interests in Pennsylvania, West Virginia, and Ohio, including the preparation of title opinion.
