Michael Gallagher is a highly skilled and versatile corporate and transactional attorney who partners with clients to help them meet both short- and long-term business and operating objectives. Mike brings to his legal practice more than two decades’ experience executing a wide variety of corporate transactions, including drafting and negotiating complex contracts, handling asset purchases and sales, and implementing license and franchise agreements, among others.
Before returning to private practice, Mike spent nearly 20 years as assistant general counsel at Delaware North, a multibillion-dollar global food service and hospitality company. First, he oversaw all transactional work for the company’s $300 million parks and resorts subsidiary. Most of the transactions for the parks and resorts subsidiary involved federal or state government contracts. The subsidiary had contracts with the National Park Service (NPS), the National Aeronautics and Space Administration (NASA), and state park agencies, including a contract with over $100 million in annual revenues for Yosemite National Park. In obtaining these contracts, Mike was involved in extensive research regarding the government’s bidding requirements and operating regulations. Mike most recently held sole responsibility for the transactional work relating to Delaware North's $800 million concessions and sport service subsidiary. There, he negotiated concession agreements — allowing for the sale of national, regional and local food and beverage products — with the New York Giants, New York Jets, Seattle Seahawks, Green Bay Packers, Baltimore Orioles, and other major and minor league sports teams.
Mike’s wide-ranging experience also includes obtaining bank and private financing for large development projects involving hundreds of millions of dollars of capital investment; as well as handling stock purchases and drafting shareholder agreements, negotiating mergers, obtaining bank and private financing for large development projects, and drafting corporate and organization documents and employment contracts.
