Tucker Cianchette alleged that his father and stepmother entered into contracts for the sale of their interest in Casco Bay Ford (with no intent to honor those contracts) and exerted pressure on Tucker ... to surrender his ownership rights if he failed to close, all as part of a scheme to divest Tucker of his ownership share of Casco Bay Ford. When Tucker was able to perform under the purchase and sale contracts, Eric and Peggy refused to close and fired Tucker as general manager of the dealership. Eric and Peggy also used their majority ownership position to enter into self-dealing transactions and took other actions which constituted breaches of the LLC Operating Agreement and breaches of fiduciary duty by Peggy Cianchette as manager of the LLC.
