Kathleen Marie Centolella

Katie is an experience transactional attorney practicing in the areas of exempt organizations, health care, business transactions, mergers and acquisitions, New York and federal income taxation planning, and employee benefits.

Katie’s experience includes representing clients in asset and stock transactions, providing tax advice in corporate acquisitions, mergers and separations, tax planning and advocacy for partnerships, LLCs, S corporations and C corporations. Additionally, Katie represents businesses of all sizes in their general corporate affairs as their outside general counsel.  In this role, Katie brings her related experience, legal knowledge and operational business knowledge to see beyond the technical legal issues facing her clients and to effectively work with the management team to deliver practical and business-oriented counsel to the strategic or everyday decision facing her clients.

In her work for exempt organizations, Katie advises board of directors on fiduciary duties, on the avoidance of private inurnment, on joint-ventures with for-profit entities, including joint ventures among hospitals and physicians.

Katie also advises clients with regard to the establishment, administration, and termination of non-qualified deferred compensation arrangements including SERPs, phantom stock plans, profits interests, stock appreciation rights plans, change of control agreements, and other top hat plans. Katie has significant experience with the applicable of Internal Revenue Code 409A and 457 on executive compensation arrangement among for-profit and non-profit organizations. Her recent experience includes document corrections under the new IRS document correction program for non-compliant non-qualified deferred compensation plans.
