If New York has jurisdiction, the out-of-state company can be sued in New York.
The corporate seal is inoperative by statute. Acknowledged signatures are required.
Depending on the circumstances, the application may be the property of the company.
No one can say for sure but it's always faster and less expensive if there are no disputes or accounting to resolve.
