I am a corporate and securities attorney with cryptocurrency, crowdfunding and financial regulation experience. My previous experience focused on advising private equity and hedge fund managers on fund formation and regulatory compliance. I have advised foreign and domestic clients on cryptocurrency and ICO matters, crowdfunding, corporate transactions and regulatory compliance. I have drafted and reviewed offering documents such as PPM, Whitepapers, and other corporate documents.

I have held FINRA licenses Series 7 (Securities Registered Representative) and Series 66 (Registered Investment Advisor) (CRD #6583124: INACTIVE). I have a broad range of experiences as a corporate and securities attorney with regulatory compliance experience.

I have also served as outside in-house counsel for small businesses and e-commerce companies in various industries. In that capacity, I have drafted and reviewed sales and licensing agreements, intellectual property agreements, SaaS agreements, vendor agreements, marketing materials, cyber security policies, NDAs, employment agreements, and complex non-routine contracts addressing day-to-day legal issues of the respective company.

I am an avid follower of regulatory developments affecting the cryptocurrency space, and I attend continuing legal education seminars regularly to confer with my colleagues on recent regulatory enforcement actions, final rules, guidances and exemptive orders from the SEC, FINRA, CFTC, and IRS.
