Resolve employment contract and executive compensation disputes; negotiate and design executive compensation plans; allocate employee benefit plan liabilities in corporate transactions; work with senior executives, as well as executive groups, in negotiating employment, severance and change-of-control arrangements with current and successor employers; represent compensation committees; and resolve proxy disclosure issues, stockholder approval questions and SEC disclosure and compliance issues.
