Michael Mietlicki is Counsel in Scarinci Hollenbeck’s Litigation Department, where he focuses on complex commercial litigation and business disputes in New Jersey and New York. His practice centers on business divorce, ownership and control disputes, breach of fiduciary duty, corporate governance, and litigation involving closely held businesses. His work also includes conflicts arising when co-owners separate or seek to exit a business.
Michael counsels and represents business owners, shareholders, partners, LLC members, companies, and fiduciaries in disputes involving ownership rights, management and control, decision-making authority, and competing contractual obligations. These shareholder, partnership, and LLC disputes often arise from disagreements among co-owners, questions about the operation and governance of a business, or conflicts over financial interests, business assets, and accountings. His work addresses both the legal issues and commercial consequences for an ongoing enterprise.
Beyond ownership and governance conflicts, Michael handles breach of contract litigation, business torts, unfair competition, intellectual property and trade secret disputes, defamation, and commercial landlord-tenant matters. He also handles related trust, probate, and estate disputes when business ownership and succession issues overlap. This breadth of commercial litigation experience allows him to address interconnected claims that may arise from a single business relationship or transaction.
Michael represents clients in state and federal courts in New Jersey and New York, including matters before the New Jersey Superior Court’s Chancery Division. He handles disputes requiring emergency and equitable relief, including situations where court intervention may be necessary to protect business assets, enforce contractual or ownership rights, or preserve the status quo while a case proceeds. He also represents clients in mediation and other forms of alternative dispute resolution, recognizing that the appropriate path depends on the nature of the conflict and the client’s objectives.
Michael approaches litigation with attention to both legal and commercial considerations. He works with clients to evaluate risk and leverage, identify the interests driving a dispute, and develop strategies aligned with their business priorities. Whether the immediate concern is control of a company, protection of a valuable asset, enforcement of an agreement, or resolution of a prolonged ownership conflict, his focus is on protecting clients’ rights while pursuing outcomes that make practical business sense.
In addition to dispute resolution, Michael advises businesses and entrepreneurs on contracts, corporate governance, regulatory risk, advertising and consumer-protection matters, and environmental marketing claims. He has also counseled nonprofit organizations and media and creative clients concerning brand protection, public communications, governance, and litigation exposure. His counseling work complements his litigation practice by helping clients identify legal risks associated with their operations and business decisions.
Michael earned his J.D. from New York University School of Law, where he served as an articles editor of the NYU Journal of Intellectual Property and Entertainment Law. He received his B.A. from Sarah Lawrence College, concentrating in music. He is admitted to practice in New Jersey and New York.
