Leo Bong-Il Choi

Leo counsels broker-dealers, digital investment advisers, digital asset platforms and other venture-backed FinTech companies in a wide variety of regulatory and transactional matters.

With a focus on the FinTech securities and blockchain industries, Leo guides companies in these areas on the appropriate legal structure and framework for their businesses as well as the requisite legal and regulatory compliance. He has experience working on various securities offerings under Regulation D, Regulation A, and Regulation Crowdfunding, where the underlying securities are represented by blockchain tokens; and assisting in the formation of FINRA-regulated funding portals. Additionally, he has worked on transactional documents relating to digital assets such as purchase and sale, service, and IP assignment agreements, and organizational/corporate documents such as LLC operating agreements, bylaws, and board, shareholder, and/or manager resolutions, and has advised on such issues as special redemption and withdrawal mechanics for on-chain funds.

While in law school, Leo was a research assistant for the Rutgers Center for Corporate Law and Governance, where he conducted research on blockchain, digital assets, money transmission, securities laws, enforcement actions, initial coin offerings, and other capital raising ventures.
