Timothy D. Condon is an associate in the firm and a member of the Business & Finance Department.  His practice is focused in the areas of mergers & acquisitions, corporate finance, securities law, and corporate law & governance. These areas cover a wide variety of legal services that involve advising clients regarding various transactions, Securities and Exchange Commission periodic reporting compliance, and compliance with New York Stock Exchange and NASDAQ requirements, as well as all facets of the formation, ownership, operation, transfer, and termination of business entities. Representation related to these transactions and the satisfaction of periodic reporting requirements includes drafting and reviewing shareholders' agreements, merger agreements, asset or stock purchase agreements, employment agreements, confidentiality and nondisclosure agreements, and other documents relative to the formation, ownership, operation, and management of businesses, as well as various documents required for public and private offerings of securities, periodic and current reports, and proxy materials required for shareholder meetings.

Mr. Condon is admitted to practice in the State of New York.

 

Professional Affiliations:

Mr. Condon is a member of the Monroe County Bar Association and it's Young Lawyers Section, as well as the New York State Bar Association Business Law Section.  He is also a member of the Cornell Club of Rochester.

 

Mr. Condon is is active as a volunteer mentor for local elementary students with the Rochester City School District in the Lawyers for Learning program.
