Laura Kaplan Plourde

Laura Plourde is a corporate attorney who counsels business clients of all sizes with a focus on mergers and acquisitions, commercial contract negotiation, protection of intellectual property, entity formation and negotiation of limited liability company Operating Agreements and Shareholder Agreements.

Laura’s unique combination of corporate and intellectual property legal expertise enables her to efficiently advise businesses with an eye toward recognizing and protecting their crucial intellectual property assets. She represents companies of all sizes and in various stages of growth, and has extensive experience negotiating and documenting a variety of transactions including mergers and acquisitions, private placements of equity securities, credit facilities, commercial contracts and employment agreements.

Laura regularly assists early-stage entrepreneurs with laying the groundwork for their businesses, guiding clients through the process of selecting the best business structure, forming legal entities, drafting limited liability company Operating Agreements and Shareholder Agreements,  establishing ownership and investor rights and protecting essential intellectual property.

Laura is a graduate of Lewis & Clark Law School, Summa Cum Laude, and was the valedictorian of her class. During law school, Laura served on the Editorial Board of the Journal of Small and Emerging Business Law, which published her article, “Analysis of Circuit City Stores, Inc. v. Adams in Light of Previous Supreme Court Decisions: An Inconsistent Interpretation of the Scope and Exemption Provisions of the Federal Arbitration Act” in its Spring, 2003 edition. Prior to joining Bowditch & Dewey, Laura practiced at Pabian & Russell, LLC and Choate, Hall & Stewart LLP.
